These terms govern all aerial services supplied by Udrone Aerial Solutions Pvt. Ltd. (“Udrone”, “we”) to a client in India. They apply alongside the written scope and quotation issued for each project, which takes precedence where the two differ.
1. Scope and quotation
Every engagement begins with a written scope stating the deliverables, the accuracy class where applicable, the site, the schedule and a fixed price exclusive of GST. Work outside that scope is quoted separately before it is carried out.
2. Regulatory compliance
- All flights are conducted under the Drone Rules, 2021 and subsequent amendments.
- Aircraft hold a valid Unique Identification Number and, where required, a Type Certificate.
- Pilots hold a current Remote Pilot Certificate for the class of aircraft flown.
- Airspace permissions are filed on the Digital Sky portal where the site requires them.
- We will not fly a mission that cannot be flown lawfully, regardless of commercial pressure or client instruction.
3. Client obligations
- Provide safe, lawful access to the site for the agreed dates.
- Disclose any known hazard, restriction, easement or ongoing activity affecting the site.
- Obtain landowner, society, venue or authority consent where the client controls that relationship.
- Nominate a single point of contact empowered to approve scope decisions on the day.
4. Weather, airspace and rescheduling
We do not fly in rain, in winds exceeding the aircraft's rated limit, in visibility below the regulatory minimum, or where a permission has not been granted. A mission postponed on any of these grounds is rescheduled to the next mutually available date at no additional charge, provided the original booking was made at least seven days in advance.
Solar thermal audits additionally require clear-sky irradiance above 600 W/m². These are generally not schedulable between June and September across most of India.
5. Payment
- 40% on confirmation of the written scope; balance on delivery, unless the scope states otherwise.
- All prices are exclusive of GST, which is charged at the applicable rate.
- Payment is due within 15 days of invoice.
- Out-of-base travel, accommodation and statutory fees are billed at cost where the scope so states.
6. Deliverables, data and intellectual property
On full payment, the client receives an unlimited, perpetual licence to use the delivered imagery, film and data for its own commercial purposes. Raw and unprocessed source material is supplied with every project.
We retain copyright in the underlying works and the right to use non-confidential excerpts in our own portfolio, unless the scope records a confidentiality restriction. Where a site is commercially sensitive, tell us at the quotation stage and we will record it.
7. Accuracy statements
Survey deliverables carry a stated RMSE measured against independent check points held out of processing. That figure is the accuracy we warrant. Accuracy degrades predictably under dense canopy, standing water and fresh bituminous surfacing, and the report identifies affected areas rather than averaging them into a single headline number.
8. Liability
We carry third-party liability insurance for all flight operations. Our aggregate liability under any engagement is limited to the fees paid for that engagement, except where liability cannot lawfully be limited. We are not liable for consequential or indirect loss, including loss of profit or opportunity.
9. Cancellation
- More than 7 days before mobilisation: no charge.
- 3 to 7 days: 25% of the project value.
- Under 3 days, or on-site cancellation by the client: 50% of the project value plus any travel actually incurred.
10. Governing law
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction.
